Terms of Service

These terms apply when you use YAB-E, including yab-e.com, the YAB-E widget on sellers' websites, My Yabby, and the Seller Studio. By using YAB-E you agree to them.

1. Who we are

YAB-E is operated by X Social Media LLC, a Florida limited liability company based in Winter Garden, Florida ("YAB-E", "we", "us"). You can reach us at hello@yab-e.com.

2. What YAB-E does

YAB-E is a platform that connects buyers with independent businesses ("sellers"). Buyers can make offers on what sellers list, or set the most they are willing to pay. Sellers set their own prices, rules, and the lowest price they will accept. YAB-E is not the seller of the products or services listed, and is not a party to the sale between a buyer and a seller.

3. Accounts and sign-in

We sign you in with secure links sent to your email address ("magic links"). Keep access to your email secure, and do not forward YAB-E emails that contain sign-in links. You are responsible for activity carried out through your sign-in links. You must be at least 18 to use YAB-E.

4. For buyers

• Offers. When you make an offer, you tell the seller the most you are willing to pay. You will never be charged more than the price you offered, or more than the seller's listed price.
• When an offer becomes a purchase. If the seller accepts your offer, automatically or by hand, you will be asked to complete payment, or, where you have chosen automatic purchase and saved a payment method, you authorize the charge at the accepted price.
• Changing your mind. You can cancel or raise an offer in My Yabby until it is accepted. Cancelling an offer before it is accepted costs nothing.
• Subscriptions. Some sellers sell subscriptions that renew automatically at the agreed price until you cancel. You can cancel at any time from My Yabby. Cancellation takes effect as described in the seller's terms and our Refund Policy.
• The seller's terms. Your purchase is from the seller, and their own terms and policies for the product or service also apply.

5. For sellers

• You are the merchant of record for everything you sell through YAB-E. You are responsible for your products and services, accurate descriptions and prices, delivery, customer service, refunds, chargebacks, taxes, and complying with the laws that apply to your business.
• Payments to you are processed through Stripe Connect, and you agree to the Stripe Connected Account Agreement.
• YAB-E charges a platform fee on each sale made through YAB-E, including subscription renewals: 2% of the sale price, whether the buyer comes through your own website, emails, links, an AI assistant, or YAB-E. Where YAB-E sets prices at your till or point of sale, the fee is 2% of the sales made at a price YAB-E lowered, invoiced monthly, and full-price sales carry no fee. Stripe's own processing fees are separate and are paid to Stripe. Your rates are shown in your Seller Studio; a different rate applies only if agreed with us in writing.
• A price shown to buyers on YAB-E is never raised above the normal price you set for that listing. A temporary reduction, such as a quiet-hour price, may end and return to the normal price.
• You agree not to move buyers who came to you through YAB-E onto another payment arrangement in order to avoid YAB-E's fee on that relationship.

6. Payments

Payments are processed by Stripe. YAB-E does not store full card numbers and does not hold buyers' or sellers' funds; payments go directly to the seller's Stripe account.

7. Acceptable use

Do not use YAB-E for anything illegal, to list prohibited or misleading items, to place offers you do not intend to honor, to interfere with the platform, or to access other people's accounts or data. We may suspend or remove accounts, offers, or listings that break these terms.

8. Disclaimers and limitation of liability

YAB-E is provided "as is" and "as available." We do not guarantee that any offer will be accepted, that any price will be reached, or that the platform will always be available without errors. To the fullest extent the law allows, YAB-E is not liable for indirect, incidental, or consequential damages, or for the products and services sold by sellers, and our total liability to you for any claim is limited to the fees YAB-E received in connection with the transaction giving rise to the claim, or 100 US dollars, whichever is greater. Nothing in these terms limits rights you have under consumer protection laws that cannot be limited.

9. Changes

We may update these terms. If we make material changes, we will update the date above and, where appropriate, tell you by email. Continuing to use YAB-E after a change means you accept the updated terms.

10. Governing law

These terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws rules. Disputes will be handled in the state or federal courts located in Orange County, Florida, unless the law of your country of residence gives you the right to bring a claim where you live.
